Terms and Conditions

1. Introduction

Welcome to Aiventra Solutions. These Terms and Conditions govern your access to and use of our website and the services provided by Aiventra Solutions LTD.

By accessing our website, contacting us about our services, or purchasing a service from us, you agree to comply with these Terms and Conditions where applicable. If you do not agree with these terms, please discontinue using the website.

For the purposes of these terms, “we,” “us,” and “our” refer to Aiventra Solutions LTD, while “you” and “your” refer to the website visitor or client.

2. Company Information

Aiventra Solutions LTD is a company registered in the United Kingdom.

3. Our Services

Aiventra Solutions offers digital and technology-related services, which may include website design and development, software development, application development, technology consulting, and other digital solutions.

The availability and scope of services may vary depending on the client’s requirements and the specific project agreed upon.

Before a project begins, we may provide a proposal, quotation, statement of work, invoice, or written confirmation describing the services, deliverables, fees, estimated schedule, and any relevant project conditions.

Where an individual written agreement conflicts with these general terms, the specific agreement will take precedence for the subject it expressly addresses, to the extent permitted by law.

4. Orders and Project Acceptance

A service request or quotation inquiry does not automatically constitute an accepted order.

A project or service will be considered confirmed when the relevant scope and commercial terms have been agreed upon and any required initial payment or other commencement conditions have been satisfied.

We reserve the right to decline a request where we are unable to provide the requested service, subject to applicable law and any existing contractual obligations.

5. Pricing and Payments

Service prices will be communicated through our website, quotation, proposal, invoice, or other written communication.

Unless otherwise agreed in writing:

  • Clients must pay the fees specified in the applicable quotation or invoice.
  • Any deposit, milestone payment, or advance payment must be made according to the agreed payment schedule.
  • Additional work outside the agreed scope may incur additional charges, subject to approval and agreement where required.
  • Any applicable taxes, duties, or other charges will be handled in accordance with applicable law and the agreed commercial terms.
  • Payments must be made using the payment methods communicated or made available to the client.

We will not intentionally charge a client for an unapproved change in price or scope. Any applicable recurring fees or subscription charges must be disclosed and agreed upon before the relevant recurring arrangement begins.

6. Project Timelines and Client Responsibilities

We will make reasonable efforts to complete agreed services within the estimated timeframe communicated to the client.

Project schedules may depend on receiving timely information, content, approvals, access credentials, feedback, and other materials from the client.

Clients are responsible for providing accurate information and ensuring that any materials supplied to us may lawfully be used for the project.

Delays caused by missing information, late approvals, changes in scope, third-party providers, or circumstances beyond our reasonable control may affect delivery dates. We will communicate material delays where reasonably practicable.

7. Changes to Project Scope

Requests that materially change the original requirements, functionality, deliverables, or project schedule may require a revised quotation or additional written agreement.

We will communicate any applicable additional costs or timeline changes before proceeding with chargeable additional work.

Neither party is required to accept a proposed change unless it has been agreed upon in accordance with the applicable project arrangements.

8. Revisions, Testing, and Acceptance

Where revisions or testing are included in a service, their scope and limits will be specified in the relevant quotation, proposal, or project agreement.

Clients should review delivered work and provide feedback within any agreed review period.

If a delivered item does not materially conform to the agreed specifications, the client should notify us with sufficient details so that we can assess and, where appropriate, correct the issue in accordance with the agreed terms and applicable law.

Any acceptance procedure does not remove statutory rights that cannot legally be excluded.

9. Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of intellectual property that it owned before the project began.

The ownership, transfer, or licensing of project-specific deliverables will be determined by the applicable written agreement. Where relevant, any transfer of rights may be conditional upon full payment of the agreed fees.

Clients must ensure they have permission to use any text, images, logos, software, data, or other materials supplied to us.

We retain ownership of our pre-existing tools, methods, reusable components, know-how, and materials, except to the extent otherwise agreed in writing.

10. Acceptable Use

You agree not to use our website or services:

  • For any unlawful, fraudulent, or deceptive purpose.
  • To violate another person’s intellectual property, privacy, or other legal rights.
  • To distribute malicious software or attempt unauthorized access to systems.
  • To interfere with the security, availability, or operation of our website.
  • To submit content or instructions that violate applicable laws.

We may take reasonable action to address misuse, subject to applicable law and any existing contractual obligations.

11. Third-Party Services

Certain projects may depend on third-party hosting providers, domain registrars, payment processors, APIs, software licenses, plugins, or other platforms.

Unless expressly agreed otherwise, third-party services are subject to their own terms, fees, availability, and privacy policies.

We are not responsible for independent acts or failures of third parties beyond our reasonable control. This does not exclude responsibility for our own acts or obligations where liability cannot legally be excluded.

Any third-party subscription, license, or renewal costs that the client is required to pay should be disclosed as part of the applicable service arrangements.

12. Confidentiality and Data Protection

Both parties should take reasonable steps to protect confidential information shared in connection with a project.

We will handle personal data in accordance with applicable data protection laws and our Privacy Policy. Where a project requires us to process personal data on behalf of a client, additional data processing terms may be necessary.

Clients should not send unnecessary sensitive personal information or confidential credentials through unsecured communication channels.

13. Cancellations and Refunds

Cancellation requests should be submitted in writing to info@aiventrasolutions.com or through another contact method agreed upon with the client.

The consequences of cancellation, including any applicable charges or refunds, will depend on the agreed service terms, the work completed, any applicable statutory rights, and the circumstances of the cancellation.

Where applicable law grants a right to cancel or receive a refund, nothing in these terms removes that right.

For further details, please refer to our Refund Policy, if published on our website, or contact us for clarification before purchasing a service.

14. Warranties and Disclaimers

We will provide our services with reasonable care and skill as required by applicable law and the relevant agreement.

Unless expressly agreed in writing, we do not guarantee specific commercial results, search engine rankings, revenue increases, website traffic, application performance on every third-party system, or uninterrupted availability of external platforms.

Nothing in these terms excludes any warranty, guarantee, or statutory right that cannot lawfully be excluded.

15. Limitation of Liability

To the extent permitted by law, we are not responsible for indirect or consequential losses that are not reasonably foreseeable or otherwise recoverable under the applicable legal framework.

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.

Any other limitation of liability must be interpreted subject to applicable law and any mandatory rights available to the client.

16. Suspension or Termination

Either party may seek to terminate a project or service in accordance with the relevant written agreement or applicable law.

Where appropriate, we may suspend access to a service or terminate an arrangement if there is a material breach of these terms, unlawful use, non-payment of undisputed amounts, or another valid contractual reason, subject to any applicable notice requirements and legal protections.

Termination does not automatically remove payment obligations for services properly provided before termination or other rights and remedies that have accrued under the applicable agreement or law.

17. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, business practices, or legal obligations.

The current version will be published on this page with an updated effective date. Changes will apply prospectively unless otherwise required or permitted by law or agreed with the client.

Where a change materially affects an existing contract, the applicable contractual terms and legal requirements will determine how the change applies.

18. Governing Law and Disputes

These Terms and Conditions are governed by the laws of England and Wales, unless applicable law requires otherwise.

Any dispute should first be raised with us so that both parties have a reasonable opportunity to seek an appropriate resolution.

Nothing in this section prevents a consumer from exercising any mandatory legal rights or bringing a claim before a court or tribunal that has jurisdiction under applicable law.
